Main pollution sources affecting the Marmara Sea can be listed as flows from the Black Sea, direct and indirect discharges and wastes from communities and industries around the sea, discharges arising from shipping within the sea (ballast and bilge water, pollution arising from ship accidents, etc.). Within this framework, all sources/groups of polluters with respect to their individual contribution to the overall pollution of the area (including domestic, industrial, shipping, and agricultural users) will be identified and evaluated. Consequently water quality objectives will be designated. In order to maintain the desired water quality objectives set for the basin, the environmental management master plan, that will include pollution control measures, set up alternatives, and identify the most appropriate and urgent (prioritised) alternative, will be developed. Main features of the individual project components will be drawn up, their expected investment costs, implementation schedules and priorities will be determined regarding the implementation of the master plan developed. 7.Number and titles of lots Not applicable 8.Maximum budget 2 650 000 EUR. 9.Scope for additional services None CONDITIONS OF PARTICIPATION 10.Eligibility Participation is open on equal terms to all natural and legal persons of the Member States and the countries and territories of the regions covered and/or authorised by the regulation or other specific instruments applicable to the programme under which the contract is financed (see also point 28 below). 11.Candidature All eligible natural and legal persons (as per item 10 above) or groupings of such persons (consortia) may apply. A consortium may be a permanent, legally-established grouping or a grouping which has been constituted informally for a specific tender procedure. All members of a consortium (i.e. the leader and all other partners) are jointly and severally liable to the EIB and the promoter. The participation of an ineligible natural or legal person (as per item 10) will result in the automatic exclusion of that person. In particular, if that ineligible person belongs to a consortium, the whole consortium will be excluded. 12.Number of applications Candidates (including firms within the same legal group, other members of the same consortium, and subcontractors) should submit only one application for the current contract, whatever the form of participation (as an individual candidate, or as leader or partner of a consortium candidate). In the event that a natural and legal person submits more than one application, all applications in which that person has participated will be excluded. 13.Short-list alliances prohibited Any tenders received from tenderers comprising firms other than those mentioned in the short-listed application forms will be excluded from this restricted tender procedure. Short-listed candidates may not form alliances or subcontract to each other for the contract in question. 14.Grounds for exclusion Grounds for exclusion are mentioned in the annex to this service procurement notice. Successful candidates must provide the evidence that they don't fall under those circumstances. 15.Subcontracting Subcontracting is not allowed without prior written consent of the EIB and the promoter. 16.Number of candidates to be short-listed On the basis of the applications received, at least 4 and at most 8 candidates will be invited to submit detailed tenders for this contract. SELECTION AND AWARD CRITERIA 20.Selection criteria The following section will be applied to candidates. In case of applications submitted by a consortium, these selection criteria will be applied to the consortium as a whole: 1) Economic and financial standing of candidate(s): (i)for each of the last three years, total annual turnover of candidate(s)/applicants must be equivalent to the maximum budget of the contract; (ii)financial statements based on international audit standards. 2) Professional capacity of candidate(s): (i)at least 20% of all members of staff working for the candidates work in fields related to this contract.3) Technical capacity of candidate(s): (i)the candidate should have a demonstrated track record in the fields of project management, water and wastewater projects, marine biology, solid waste management and disposal, hydraulic modelling (quantitative and qualitative), institutional and organisational expertise; the candidate has at least one major assignment of at least two years in the field of environmental management planning in the water sector; (ii)proven experience in setting-up and running such an operation, preferably in the Mediterranean region; (iii)proven capacities to provide backstopping and to recruit and manage technical assistance teams. 21.Award criteria As specified in the tender dossier annexed to the letter of invitation to tender which will be sent to short-listed candidates. This nationality rule will also apply to the experts put forward by service providers participating in invitations to tender for services financed by the Community. In order to check compliance with the nationality rule, the tender documents require tenderers to indicate their country of origin and to submit the customary relevant evidence in accordance with their national law. Should the contracting authority suspect that a candidate/tenderer merely has an office registered in an eligible country or State and that the nationality of the candidate/tenderer is ineligible, it will be incumbent on the latter to prove that it has genuine enduring connections with this country's economy. This is to avoid awarding contracts to enterprises that are ineligible due to their nationality but have set up a shell company in an eligible country with the sole aim of circumventing the nationality rule. 2.EXCLUSION SITUATIONS Candidates or tenderers are excluded from participation in a contract who: (a) are bankrupt or have been made the subject of a procedure for bankruptcy, are being wound up, whose affairs are being administered by the court, who have entered into an arrangement with creditors, who have suspended business activities or who are in any analogous situation arising from a similar procedure under national laws and regulations; (b) have been convicted of an offence concerning their professional conduct by a judgement which has the force of 'res judicata'; (c) have been guilty of grave professional misconduct proven by any means which the contracting authorities can justify; (d) have not fulfilled obligations relating to the payment of social security contributions or have not fulfilled obligations relating to the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the contracting authority; (e) have been the subject of a final judgement for fraud, corruption, involvement in a criminal organisation or any other illegal activity undermining the financial interests of the Communities; (f) following the procedure to award another contract or to grant a subsidy, financed by the Community budget, have been declared guilty of gross nonfeasance due to non-compliance with their contractual obligations. The contracting authority will accept as sufficient evidence that none of the cases quoted in (a), (b) or (e) apply to the candidate or tenderer, the production of a recent extract from the judicial record or, failing this, a recent equivalent document issued by a competent judicial or administrative authority in the country of origin or in the country whence that person comes, showing that these requirements have been met. The contracting authority shall accept, as sufficient evidence that the case quoted in (d) does not apply to the candidate or tenderer, a recent certificate issued by the competent authority in the Member State concerned. Where the country concerned does not issue such documents or certificates, they may be replaced by a sworn statement or, failing that, a solemn declaration made by the person concerned before a judicial or administrative authority, a notary or a competent professional or trade body, in the country of origin or in the country whence that person comes. In accordance with the national law of the country where the tenderer or candidate is established, the aforementioned documents must relate to legal and/or natural persons including, where applicable and where the contracting authority deems it necessary, company managers or any person empowered to represent, take decisions for, or control the candidate or tenderer. Candidates or tenderers must submit the usual evidence, in accordance with the law of the country where they are established, that the cases mentioned in the previous points do not apply to them. Such evidence or documents must bear a date not more than 180 days prior to the deadline for submission of tenders. Furthermore, tenderers must submit a declaration that, since the date that such evidence was established, their situation has not changed. A contract may not be awarded to candidates or tenderers who, at the time of the procedure to award this contract: (a) are in a situation of conflict of interest; (b) are guilty of misrepresentation in supplying or failing to supply the information required by the contracting authority for their participation in the contract. 3.ADMINISTRATIVE AND FINANCIAL PENALTIES Where the award procedure or the implementation of a contract are vitiated by significant errors or irregularities or fraud, the EIB will suspend performance of the contract. If such errors, irregularities or fraud are attributable to the contracting party, the Bank may furthermore either refuse to make the payment or recover the amounts already paid, in proportion to the seriousness of the errors, irregularities or fraud. The purpose of suspending the contract will be to check the reality of the significant errors or irregularities or presumed fraud. If these occurrences are not confirmed, performance of the contract will be resumed following this verification. A significant error or irregularity is deemed for this purpose to be any infringement of a contractual or regulatory provision resulting from an action or omission which has or could have a harmful effect on the Community budget. 4.ETHICS CLAUSE Any attempt by a candidate or tenderer to obtain confidential information, enter into unlawful agreements with competitors or influence the committee or the contracting authority during the process of examining, clarifying, evaluating and comparing tenders will lead to the rejection of its candidacy or tender and may result in administrative penalties. Without the contracting authority's prior written authorisation, a contractor and its staff or any other company with which the contractor is associated or linked may not, even on an ancillary or subcontracting basis, supply other services, carry out works or supply equipment for the project. This prohibition also applies to any other programmes or projects that could, owing to the nature of the contract, give rise to a conflict of interest on the part of the contractor. When putting forward a candidacy or tender, the candidate or tenderer must declare that he is affected by no potential conflict of interest, and that he has no particular link with other tenderers or parties involved in the project. Should such a situation arise during performance of the contract, the contractor must immediately inform the contracting authority. The contractor must at all times act impartially and as a faithful adviser in accordance with the code of conduct of its profession. He must refrain from making public statements about the project or services without the contracting authority's prior approval. He may not commit the contracting authority in any way without its prior written consent. For the duration of the contract, the contractor and its staff must respect human rights and undertake not to offend the political, cultural and religious mores of the beneficiary State. The contractor may accept no payment connected with the contract other than that provided for therein. The contractor and its staff must not exercise any activity or receive any advantage inconsistent with their obligations to the contracting authority. The contractor and its staff are obliged to maintain professional secrecy for the entire duration of the contract and after its completion. All reports and documents drawn up or received by the contractor are confidential. The contract governs the contracting parties' use of all reports and documents drawn up, received or presented by them during the execution of the contract. The contractor must refrain from any relationship likely to compromise its independence or that of its staff. If the contractor ceases to be independent, the contracting authority may, regardless of injury, terminate the contract without further notice and without the contractor having any claim to compensation. The Commission reserves the right to suspend or cancel project financing if corrupt practices of any kind are discovered at any stage of the award process and if the contracting authority fails to take all appropriate measures to remedy the situation. For the purposes of this provision, 'corrupt practices' are the offer of a bribe, gift, gratuity or commission to any person as an inducement or reward for performing or refraining from any act relating to the award of a contract or implementation of a contract already concluded with the contracting authority. More specifically, all tender dossiers and contracts for works, supplies and services must include a clause stipulating that tenders will be rejected or contracts terminated if it emerges that the award or execution of a contract has given rise to unusual commercial expenses. Such unusual commercial expenses are commissions not mentioned in the main contract or not stemming from a properly concluded contract referring to the main contract, commissions not paid in return for any actual and legitimate service, commissions remitted to a tax haven, commissions paid to a recipient who is not clearly identified or commissions paid to a company which has every appearance of being a front company. The contractor undertakes to supply the EIB, on request, with all supporting documents relating to the conditions of the contract's execution.
